Important Notice: By enrolling in or using the Suncor Commission Application or web portal, you agree to be bound by these Terms and Conditions. If you do not agree with any provision herein, you must immediately cease accessing the platform.
1. Program Overview & Acceptance
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between Suncor India Private Limited ("Suncor", "Company", "we", "us") and you, whether acting as an authorized distributor/dealer ("Vendor") or as a certified electrical installer, contractor, or technician ("Service Partner") (collectively, "Participant", "User", or "you").
The Suncor Partner Commission Program ("Program") is designed to recognize, incentivize, and reward authentic wholesale transactions, installation projects, and customer retail sales of genuine Suncor electrical wires, cables, switches, and associated electrical products through our digital management platform (the "Platform").
2. Eligibility and Account Registration
To participate in the Program and maintain an active account, you must satisfy the following criteria:
- Legal Age & Capacity: You must be an individual residing in the Republic of India aged 18 (eighteen) years or older, or a duly incorporated proprietary, partnership, or corporate entity under Indian law.
- Authentic Information: You must furnish true, accurate, current, and complete details during registration, including your legal name, trade name, active 10-digit Indian mobile number, and valid email address.
- Account Exclusivity: Only one account is permitted per individual or trade entity. Account sharing, credential transfer, or multiple registrations by the same tax entity without explicit written permission from Suncor is strictly prohibited.
- Security of Credentials: You are solely responsible for maintaining the confidentiality of your mobile OTPs, passwords, and device access. Suncor shall not be liable for losses resulting from unauthorized account access where credentials were compromised on the user's end.
3. Bill Submission & Verification Rules
Commission points and cash incentives are awarded exclusively against valid, verified proof of sales or installations of authentic Suncor products:
- Original Invoices Only: Participants must upload clear, legible digital photographs or electronic PDF copies of original tax invoices, cash memos, or authorized delivery receipts.
- Required Bill Details: Each submitted bill must visibly display: (i) the dealer/retailer trade name and address, (ii) a unique bill/invoice serial number, (iii) the date of transaction, (iv) itemized Suncor product SKUs and quantities, and (v) the total financial amount.
- Audit & Verification Rights: Suncor reserves absolute discretion to cross-verify any uploaded invoice with the issuing distributor, verify serial numbers against factory batch records, request physical inspection of installed materials, or seek supporting documentation prior to approving any claim.
- Verification Turnaround: Standard bill verification is processed within 24 to 48 business hours of digital submission.
4. Commission Calculation, Payouts & Settlement
Incentive structures, commission percentages, and payout schedules are governed by the following rules:
- Commission Slabs: Commission percentages and reward points are calculated dynamically based on Suncor's active promotional schemes, product tiers, and regional dealer agreements. Suncor reserves the right to modify or adjust active commission slabs with prior digital notice on the Platform.
- Payable Balance vs. Pending Balance: Commissions earned on submitted bills remain in a Pending status until the underlying bill is fully audited and approved by Suncor administrators. Only Approved bills translate to Payable Commission.
- Statutory Withholding Tax (TDS): As required under Sections 194H and 194R of the Indian Income Tax Act, 1961, Suncor shall deduct applicable Tax Deducted at Source ("TDS") from all commission settlements. Users who provide a valid PAN card will be taxed at standard statutory rates; failure to furnish a valid PAN will attract withholding at higher specified rates under Section 206AA. Suncor issues quarterly Form 16A TDS certificates upon request.
- Direct Bank Transfer / UPI: All monetary settlements are disbursed electronically directly into the verified Indian bank account (via NEFT/RTGS/IMPS) or UPI Virtual Payment Address (VPA) registered under the user's verified name.
- Inaccurate Bank Details: Suncor bears no responsibility for delayed, failed, or misdirected transfers resulting from inaccurate account numbers, erroneous IFSC codes, or invalid UPI handles supplied by the Participant.
5. Vendor & Service Partner Relationship
The Platform provides collaborative tools allowing authorized Vendors to register, associate with, and track business generated by affiliated Service Partners:
- Both Vendors and Service Partners remain independent commercial contractors and tradespeople. Nothing in this Agreement creates any partnership, joint venture, employer-employee relationship, franchise, or agency between Suncor and any Participant.
- Vendors are responsible for ensuring that Service Partners they link with adhere to fair trade practices and genuine product representation.
6. Anti-Fraud & Prohibited Activities
Zero-Tolerance Fraud Policy: Submission of fraudulent bills, digitally altered receipts, or duplicate claims will result in instant account disqualification, permanent forfeiture of all accumulated rewards, and immediate blacklisting from the Suncor distributor network.
Participants shall strictly refrain from the following prohibited activities:
- Uploading duplicate invoices, recycled receipts, or bills previously submitted by another user or in a past claim.
- Using image editing software (e.g. Photoshop) to alter invoice dates, amounts, product lines, or bill serial numbers.
- Submitting invoices for third-party or counterfeit electrical goods not manufactured or authorized by Suncor India.
- Colluding between vendors and technicians to artificially inflate purchase claims or claim incentives for unfulfilled orders.
- Attempting to probe, decompile, reverse-engineer, exploit automated scripts, or bypass security features of the mobile app or API server.
7. Account Suspension, Termination & Forfeiture
Suncor reserves the unilateral right, without prior notice, to temporarily freeze or permanently terminate the account of any Participant who:
- Violates any term, condition, or policy set forth in this Agreement.
- Engages in fraudulent, suspicious, abusive, or unlawful conduct.
- Fails to supply verifiable KYC or tax documentation upon formal request.
Consequence of Fraudulent Termination: Upon termination for fraudulent activities, any accrued, unpaid, or pending commission balances shall be deemed null and void and forfeited immediately to cover audit, administrative, and legal indemnification expenses.
8. Intellectual Property Rights
All intellectual property rights associated with the Platform—including but not limited to the "Suncor" name, the "Think Different" and "Keep Wiring a Better Future" slogans, brand logos, graphical assets, mobile application software, user interface layouts, backend codebases, and database schemas—are the sole and exclusive property of Suncor India Private Limited. Users are granted a limited, revocable, non-exclusive, non-transferable license to access the Platform solely for lawful participation in the Program.
9. Limitation of Liability & Warranty Disclaimer
The Platform and the Commission Program are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. Suncor does not warrant that access to the mobile application or web portal will be uninterrupted, error-free, or free from server outages.
To the maximum extent permitted under applicable law, Suncor India, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages—including loss of profits, business interruptions, or data corruption—arising out of or in connection with your participation in the Program.
10. Modifications to Terms & Program Rules
Suncor reserves the right to amend, replace, suspend, or terminate this Agreement or any aspect of the Commission Program at its discretion. Any revisions will be published on this page with an updated revision date. Continued participation in the Program following the publication of changes signifies your express acceptance of the revised Terms.
11. Governing Law & Dispute Resolution
This Agreement shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India, without regard to its conflict of law principles.
Any dispute, controversy, claim, or difference arising out of or relating to this Agreement or the breach, termination, or invalidity thereof shall first be attempted to be resolved amicably through mutual executive consultation within 30 days. If unresolved, such disputes shall be submitted to the exclusive jurisdiction of the competent courts located in Jhalawar, Rajasthan, India.
